  1. Subscription Agreement
    1. These Terms and Conditions govern the RUSH Punch Card subscription provided by RUSH Technologies, Inc. (“RUSH”) to Globe Business merchants (“Merchant”).

    4. The Merchant shall be responsible for all activities conducted through its account by its authorized users and shall ensure that such users comply with these Terms and Conditions. Globe Business and other referral, acquisition, or distribution partners shall not be deemed parties to this subscription solely by reason of their involvement in the Merchant's onboarding, unless expressly agreed otherwise in writing.

  2. Rewards and Merchant Responsibilities
    1. The Merchant shall be solely responsible for funding, providing, and fulfilling all rewards offered to customers through its Punch Card campaigns, including ensuring that sufficient rewards, goods, services, or other benefits are available to honor valid customer entitlements.
    2. The Merchant shall be responsible for configuring and maintaining accurate and complete campaign mechanics, eligibility criteria, reward conditions, redemption requirements, validity periods, and expiration rules. The Merchant shall ensure that all material campaign terms are clearly and accurately disclosed to customers before their participation.
    3. The Merchant shall honor and fulfill valid rewards in accordance with the applicable campaign mechanics, representations made to customers, and applicable laws and regulations. The Merchant shall be solely responsible for resolving customer complaints, claims, or disputes relating to the Merchant's campaigns, rewards, eligibility decisions, or failure to honor rewards.
    4. The Merchant shall be solely responsible for the accuracy, legality, and appropriateness of all campaign content, branding, promotional offers, reward descriptions, and other materials uploaded, configured, or published through the platform. The Merchant shall ensure that it has all necessary rights, permissions, and authorizations to use such materials.
    5. The Merchant shall be solely responsible for ensuring that its Punch Card campaigns, rewards system, and the design, issuance, promotion, and redemption of rewards comply with all applicable laws, rules, regulations, permits, licenses, and regulatory requirements, including those relating to consumer protection, advertising, promotions, and taxation, as applicable. The Merchant shall obtain and maintain, at its own cost, all necessary approvals, permits, and licenses required for its rewards system and shall be responsible for any regulatory violations arising from its campaigns or rewards system.
    6. The Merchant shall use the Punch Card platform in accordance with these Terms and Conditions, applicable laws and regulations, and relevant RUSH policies communicated or made available to the Merchant.
    7. RUSH provides the Punch Card platform as a technology service and does not design, fund, issue, guarantee, or fulfill the Merchant's rewards. RUSH's provision of platform functionality shall not, by itself, constitute an endorsement of the Merchant's campaigns or a representation that the Merchant's rewards system complies with applicable law. Nothing in this Section shall exclude or limit any obligation or liability that applicable law imposes directly on RUSH.
    8. The Merchant shall promptly notify RUSH of any complaint, regulatory inquiry, investigation, or claim relating to its Punch Card campaigns or rewards system that may materially affect the platform, RUSH, or the continued operation of the subscription.
  3. Billing and Payment
    1. No monthly subscription fee shall be charged during the first three (3) months of the complimentary trial, subject to the applicable trial eligibility and activation requirements. Usage-based charges may still apply if the Merchant exceeds the included allowances.
    2. Starting from Month 4, the monthly subscription fee of Php 999, inclusive of applicable taxes, shall apply unless the Merchant cancels before the paid subscription commences.
    3. Usage-based charges, including API overages, transactional SMS overages, and Promo Broadcast SMS consumption, shall be billed separately in accordance with the applicable rates and billing arrangements.
    4. Where a payment method is required, the Merchant shall maintain a valid payment method linked to its account and ensure that sufficient funds or credit are available to settle applicable charges.
    5. If payment of the subscription fee fails from Month 4 onward, the subscription shall be paused. Access to the subscription and its features may be restricted while the subscription remains paused.
    6. The Merchant may be required to update its payment method or settle outstanding amounts before the subscription can be reactivated.
    7. The Merchant remains responsible for outstanding subscription fees and usage-based charges incurred before the subscription was paused or cancelled.
    8. The Merchant may review available invoices and billing records through the designated account management or billing interface.
    9. If any amount due remains unpaid for ten (10) consecutive calendar days after its original payment due date, RUSH may issue a written notice of intended termination and data deletion, allowing the Merchant at least five (5) calendar days from receipt of the notice to settle the outstanding amount or request an export of available data. If the outstanding amount remains unpaid after the notice period, RUSH may terminate the subscription and delete the associated campaign and customer data, subject to Section 7.6 and applicable data protection and record-retention requirements. RUSH may retain records to the extent required by law or reasonably necessary for the establishment, exercise, or defense of legal claims. Termination and deletion shall not extinguish the Merchant's outstanding payment obligations.
  4. Subscription Cancellation
    1. The Merchant may cancel the Punch Card subscription at any time through the subscription management feature available in the Merchant CMS.
    2. During the complimentary trial: Cancellation takes effect immediately upon confirmation. The Merchant’s access to the Punch Card subscription will end immediately, and the Merchant will not be charged the Php 999 monthly subscription fee.
    3. During a paid subscription: The Merchant may initiate cancellation at any time. Access to the Punch Card subscription will remain available until the end of the current paid subscription period, after which access will end and the subscription will not renew.
    4. Any outstanding charges incurred before cancellation, including applicable API overages, transactional SMS overages, and Promo Broadcast SMS consumption, remain payable.
    5. The Merchant is responsible for making the necessary arrangements for its campaign, participants, and outstanding rewards before access to the subscription ends.
    6. Data Access Upon Cancellation. Campaign data, participant information, and transaction records shall no longer be accessible through the Merchant CMS once cancellation takes effect under Sections 7.2 or 7.3. RUSH shall disclose this consequence before the Merchant confirms cancellation. The Merchant may export available records before access ends or request an export through designated support channels within thirty (30) calendar days after cancellation takes effect, subject to identity verification and applicable data protection requirements. Thereafter, RUSH may securely delete the data in accordance with its disclosed retention policy, except for records required to be retained under applicable law or for the establishment, exercise, or defense of legal claims.
  5. Suspension and Termination
    1. RUSH may pause or restrict the Merchant’s subscription if payment of the applicable subscription fee fails, in accordance with Section 6.
    2. RUSH may suspend, restrict, or terminate the Merchant's access to the Punch Card subscription, in whole or in part, if: (a) the Merchant breaches these Terms and Conditions or any applicable RUSH policy; (b) the Merchant fails to pay amounts due; (c) the Merchant's campaigns, rewards, content, or use of the platform are or may reasonably be unlawful, misleading, fraudulent, infringing, or harmful to customers, RUSH, or third parties; (d) suspension or termination is required by law, a competent authority, or a third-party service provider upon which the platform depends; or (e) RUSH reasonably determines that action is necessary to address a security incident, suspected unauthorized activity, material operational risk, or threat to the integrity or continued availability of the platform.
    3. Where reasonably practicable and permitted by law, RUSH shall provide notice of the applicable suspension or termination and any available steps for resolution.
    4. Suspension or termination does not relieve the Merchant of its obligation to settle outstanding charges incurred before the effective date of suspension or termination.
  6. Platform Availability and Support
    1. RUSH shall use reasonable efforts to maintain the availability and functionality of the Punch Card platform and provide the product support included in the subscription.
    2. Access to the platform may be affected by maintenance, technical issues, third-party service dependencies, connectivity issues, or circumstances beyond RUSH’s reasonable control.
    3. Nothing in this section shall exclude any obligation or liability that cannot be excluded under applicable law.
  7. Data Privacy and Security
    1. The Merchant shall ensure that its collection and use of customer information through the Punch Card campaign comply with applicable data protection and privacy laws.
    2. RUSH and the Merchant shall handle personal information in accordance with their respective obligations under applicable law and the relevant privacy notices, data processing terms, and security policies, as applicable.
    3. The Merchant shall provide any required notices and obtain any necessary consents for its campaign and customer engagement activities.
    4. The Merchant shall be responsible for determining and documenting the lawful basis for its collection and use of customer personal information through its Punch Card campaigns, providing required privacy notices, obtaining consent where legally required, and ensuring that its campaign-related processing complies with applicable data protection laws. The Merchant shall not use the platform to collect or process personal information for unlawful purposes or in a manner inconsistent with applicable law and its disclosed purposes.
  8. Amendments to Terms and Pricing
    1. RUSH may update these Terms and Conditions, subscription features, usage allowances, and applicable fees in accordance with the applicable amendment and notice requirements.
    2. Where changes materially affect the Merchant’s subscription or charges, RUSH shall provide notice as required by the applicable terms or law.
    3. Any changes to the subscription terms shall be communicated through appropriate channels.
  9. Limitation of Liability
    1. RUSH and the Merchant shall be responsible for their respective obligations and liabilities arising from the Punch Card subscription in accordance with these Terms and Conditions and applicable law.

    2. The Merchant’s acknowledgment and acceptance of these Terms and Conditions shall form part of the RUSH subscription journey, regardless of the partner or acquisition channel through which the Merchant is onboarded.
    3. By proceeding with the subscription and completing the applicable acceptance process, the Merchant confirms that it has reviewed and agreed to these Terms and Conditions, including the three (3)-month complimentary trial, the Php 999 monthly subscription fee from Month 4, and any applicable usage-based charges.
